Terms and Conditions 1. Terms and Conditions of Sale: All descriptions, quotations, proposals, offers, acknowledgments, acceptances and sales of Products are subject to and shall be governed exclusively by the terms and conditions stated herein. 2. Payment: All Payments shall be made by credit card unless otherwise arranged by SSP. SSP reserves the right to withhold shipment pending acceptance of credit card. 3. Changes, Reschedules and Cancellations: SSP will endeavor to make prompt shipment of the Products to Buyer pursuant to accepted orders, but will not be responsible nor incur any liability for failure to make shipments. If for any reason SSP's capacity to deliver the Products is restricted or limited so that it cannot supply all of the needs and the quantities ordered by Buyer, then notwithstanding that SSP may have previously accepted orders from Buyer and other Buyers, SSP may cancel the order at their discretion. Buyer may request to modify the specifications of the Product ordered as well as the quantities and delivery dates, or may wish to cancel all or part of an order. Seller’s acceptance of any such change to an order will be made after Seller’s review and at its discretion. 4. Delivery: Products shall be delivered to Buyer at the location specified in the purchase order. Delivery shall be by common carrier, or as otherwise specified in the purchase order, and Buyer shall pay all delivery charges unless otherwise agreed to in writing. Title to such Products will pass to Buyer upon the pick-up by the carrier of such Products for delivery to Buyer. The risk of loss for the Products will pass to Buyer when title to the Products passes to Buyer upon pick up by the carrier. Buyer is responsible for any desired transportation insurance coverage. 5. Returns: Product may not be returned unless authorized in writing by SSP Corp. and is subject to inspection. No return will be permitted without the prior written approval of SSP as evidenced by the issuance of a Return Material Authorization number (RMA#). Returns must be freight prepaid and are subject to 25% handling charge. Return credits will be based on published price of Product less Buyer discount, or cost of product at time of purchase, whichever is less. 6. Warranty and Remedy SSP warrants that the Products sold hereunder shall be free from defects in material or workmanship for the lifetime of the Product. This warranty comprises the sole and entire warranty pertaining to Products provided hereunder. SSP makes no other warranty, guarantee, or representation of any kind whatsoever. All other warranties, including but not limited to, merchantability and fitness for purpose, whether express, implied, or arising by operation of law, trade usage, or course of dealing are hereby disclaimed. Notwithstanding the foregoing, there are no warranties whatsoever on items built or acquired wholly or partially, to Buyer’s designs or specifications. SSP’s liability arising from or in any way connected with the Products sold or this contract shall be limited exclusively to repair or replacement of the Products sold, or refund of the purchase price paid by Buyer, at SSP’s sole option. In no event shall SSP be liable for any incidental, consequential, or special damages of any kind or nature whatsoever, including but not limited to lost profits arising from or in any way connected with this Agreement or Products sold hereunder, whether alleged to arise from Breach of Contract, express or implied warranty, or in tort, including without limitation, negligence, failure to warn or strict liability. 7. Governing Law: Buyer irrevocably submits to and agrees that any controversy or claim arising out of or relating to this Agreement or any breach thereof will be brought in Summit County in the State of Ohio, in an appropriate state or federal court. Further, Buyer submits to and agrees that any dispute will be construed in accordance with the laws of the State of Ohio as if the parties were both located in Ohio and the Agreement was to be performed in its entirety in Ohio. 8. Export Control Laws: Buyer acknowledges that it is aware of the existence of U.S. laws and regulations that may prohibit the export of Products and technical data to certain foreign nations. Buyer agrees that should it be approached by anyone with a proposal that may involve the delivery of Products or technical data outside of the U.S. or Canada that it will consult with SSP with respect to the legality of such action.
